CONSTITUTION CIVIL ENGINEERING ALUMNI ASSOCIATION The Ohio State University ARTICLE I - NAME The name of this organization is The Ohio State University Civil Engineering Alumni Association, hereafter referred to as the Association. ARTICLE II - OBJECT This association is formed to promote the advancement of Civil Engineering at The Ohio State University by providing fellowship and professional relations among the alumni, students,(faculty) and staff. ARTICLE III - MEMBERSHIP & DUES 1. All graduates of The Ohio State University, Department of Civil (Environmental) Engineering (and Geodetic Science, with degrees in Civil or Environmental Engineering) are eligible for membership in this Association. 2. Non-alumni, faculty, and students, by their interest and activity in Civil Engineering, may be entitled to membership by special action of the Board of Governors. 3. The (annual) dues shall be as established by the Board of Governors. 4. Payment of annual dues constitutes a voting membership in the Association. ARTICLE IV - OFFICERS The officers of this Association shall of President, Vice President, Secretary, and Treasurer, all of whom must hold membership in The Ohio State University Alumni Association. The duties of the officers shall be such as are generally exercised by such officers, and such as may be assigned to them respectively by the Board of Governors from time to time. ARTICLE V - DUTIES OF OFFICERS Section 1. President: The President shall preside at all meetings of the Association and shall be chairman of the Board of Governors and an ex-officio member of all Committees. Section 2. Vice President: In the absence or disability of the President or at his request, the Vice President shall perform the duties of the President. If the office of President becomes vacant, he shall become President for the unexpired term. Section 3. Secretary: The Secretary shall have the custody of the names and addresses of the alumni provided by the Director of Alumni Affairs of The Ohio State University Alumni Association. The Secretary shall record all changes, notifying immediately the Director of Alumni Affairs of The Ohio State University Alumni Association of any additions or corrections to the list. He shall not release the list for political or commercial purposes, subject to expulsion from the office by the Board of Directors of The Ohio State University Alumni Association. Release of the list shall be made only on approval of the Director of Alumni Affairs of The Ohio State University Alumni Association, subject to the constitution of the Association. The Secretary shall send out all notices of meetings and shall send reports of all meetings and activities of the Association to the Director of Alumni Affairs of The Ohio State University Alumni Association for publicity in The Ohio State University Alumni Magazine. The Secretary shall assist the President and shall be a member of the Board of Governors and an ex-officio member of all committees. The Secretary shall prepare official minutes of all meetings. Section 4. Treasurer: the Treasurer shall supervise all receipts and expenditures, shall be in charge of handling financial arrangements for the meetings, and shall collect dues and disburse funds, all subject to the approval of the Board of Governors. The Treasurer shall maintain a permanent checking account in the Association. He shall be a member of the Board of Governors. ARTICLE VI - BOARD OF GOVERNORS Section 1: Board of Governors, all of whom must be members of The Ohio State University Alumni Association, shall consist of: a. The officers (President, Vice President, Secretary, and Treasurer). b. The immediate past President of the Association. c. The Chair(---) of the Department of Civil Engineering or his designate. d. Minimum of four members large elected by the membership on an annual rotation basis, for four year terms of office. e. The Director of Alumni Affairs of The Ohio State University Alumni Association as an ex-officio member. f. Student Representative as an ex-officio member. Section 2: The Board of Governors shall have full power to fill all four year term of office vacancies. Section 3: The Government of the Association and the direction of its activities shall be vested in the Board of Governors. Section 4. The Board of Governors shall hold at least one meeting a year. ARTICLE VII - MEETINGS Section 1: At least one annual meeting shall be held each year. Failure to comply with this provision shall make the club charter subject to revocation by The Ohio State University Alumni Association. Section 2: The annual meeting of the Association shall be held( -------at the discretion of the Board) Section 3: There shall be such other meetings each year as the President, with the approval of the Board of Governors of the Association, deem desirable. Section 4: Where this constitution fails to provide authority for procedure, Roberts Rules of Order shall be used. ARTICLE VIII - COMMITTEES Section 1: The President of the Association shall appoint committees as deemed necessary with the approval of the Board of Governors. ARTICLE IX - ELECTIONS Section 1: The officers shall be elected each year at the annual meeting and shall hold office until their successors have been elected and qualified. ARTICLE X - AMENDMENTS This constitution maybe amended by a majority vote of all members present at any duly called meeting of the members of the Association. No amendments shall take effect until duly approved by the Board of Directors of The Ohio State University Alumni Association. ARTICLE XI - ADOPTION This constitution shall be officially adopted upon its approval by a majority vote of the members of the Association in attendance at any regular or special meeting. It shall take effect upon the granting of a charter by the Board of Directors of The Ohio State University Alumni Association authorizing its functioning as one of the official constituent associations of The Ohio State University.
